RCS of Luxembourg: Changes regarding identification of UBOs and directors

From 31 March 2022, certain filings with the Luxembourg Trade and Companies Register will require a matricule number to be provided for persons registered (as manager / director / partner / delegate for day-to-day management / representative of a legal entity, etc.).

This change will not affect people who have a matricule number in Luxembourg, but for residents abroad, a matricule application process will have to be initiated by providing the RCSL with a series of information (in particular the private address), and supporting documents (ID, official proof of address, etc.).

In the long term, if a registration number is not provided, the system will block any filings made with the RCSL (renewal of mandates, amendment of articles of association, change of managers, etc.). It is therefore advisable to prepare supporting documents in advance in order to obtain a registration number for each person registered.

This new system also seems to be intended to put an end to the practice of entering the ‘business’ addresses of directors and managers, which did have a certain advantage from the point of view of protecting privacy…
